Eric and Hunter: below are the terms that I understood to be offered by Hunter. Hunter, please correct if I have misstated anything.

Hunter's offer is as follows:


* 100% of Broker Dealer to Eric

* Eudora: Eric gets 25% of this Eudora check; Hunter gets 75%

* Hunter gets 100% of Eudora in future
* Eric gets 25% of Eudora in the future
* 100% of BHR to Hunter

* 100% of RSA to Hunter
* 100% of Tadich to Hunter
* 100% of CAF run-off to Hunter (Eric's 25% = $30,000; therefore total to Hunter ~ $120,000)
* Non-Disparagement & confidentiality provisions
* Post-closing cooperation provisions
* $25,000 should be held in reserve for wind-down fees [to be determined]
* Eric believes that wind-down fees should be 75/25, not 50/50
* Eudora check should be deposited immediately
* Eric wants a mechanism for filing of final tax returns

Outstanding debts:

Bill Morgan 10,748 (to be paid 75 50/25 50)
AMEX 9748 (to be paid by RHB)
Faegre Baker Daniels Hunter believes outstanding legal fees should be paid 50/50 because benefit inured to both. Eric will not seek reimbursement of prior fees he paid on account of BHR and RSA/Burnham settlement and believes that remaining FaegreBD fees should be paid by Hunter
